The Website is operated by Verimix Ltd., trading as Hikari Chef Knives, P.O. Box 52514, Hadera 3844417, Israel (“Hikari Chef Knives”, “Verimix”, “we”, “us” or “our”).

These Terms of Use and Sale (“Terms”) govern your use of the Website and, where applicable, purchases arranged through it. By using the Website, contacting us regarding a purchase, or placing an order, you agree to these Terms. If you do not agree to them, please do not use the Website.

1. International Website

This Website is intended for international customers purchasing products for delivery outside Israel.

Customers purchasing products for delivery within Israel should use our Israeli website at www.japanese-knives.co.il. Purchases made through the Israeli website are subject to the terms, policies and conditions published on that website.

Orders for delivery within Israel are not intended to be processed through this international Website. We may decline such an order and direct the customer to the Israeli website.

These Terms apply to orders and transactions accepted by Hikari Chef Knives through this international Website or otherwise expressly arranged by us as an international sale.

2. Eligibility

You must be at least 18 years old, or any higher minimum age required by the laws applicable at your location, and legally capable of entering into a binding contract in order to purchase products through the Website.

It is the customer’s responsibility to ensure that they are legally permitted to purchase, import, receive, possess and use the products ordered.

We may refuse an order where we reasonably believe that the purchaser is not legally entitled to purchase, import, possess or receive the product, or where fulfilling the order could violate applicable law, carrier restrictions or other legal requirements.

3. Website and Product Availability

The Website presents products that may be available for international retail and wholesale purchase. Displaying a product on the Website does not constitute a binding offer by Hikari Chef Knives to sell that product.

Many of our knives are handmade, produced in small quantities or made as individual pieces. Availability may change without notice, and a product displayed as available may occasionally become unavailable before an order is confirmed.

We reserve the right to discontinue products, change specifications, correct information, refuse an order or cancel an order that has not yet been fulfilled where reasonably necessary, including because of stock availability, an incorrect price or description, payment problems, shipping restrictions, legal restrictions or an error on the Website.

If we determine that we are unable to fulfil an accepted order, we will cancel the affected order or item and refund any payment received for the product and any associated shipping charge that will no longer be incurred.

4. Ordering Process

International orders may be arranged manually through direct communication with Hikari Chef Knives. A request submitted through the Website, contact form or other communication channel is an inquiry and does not by itself create a sales contract.

Before an order is accepted, we may confirm product availability, destination, shipping method, shipping cost, payment arrangements and any other information required to complete the transaction.

A binding order is created only after Hikari Chef Knives has expressly accepted the order and any required payment has been received, cleared or otherwise agreed by us in writing.

If online checkout or other automated ordering functionality is made available on the Website, submission of an order remains subject to availability, payment approval and our acceptance of the order.

5. Prices

Unless otherwise stated, prices displayed on the international Website are in United States dollars (USD).

Displayed product prices do not include international shipping unless expressly stated otherwise. Shipping is calculated according to the destination, shipment size, shipping method and other relevant circumstances and may therefore be quoted separately.

Prices do not include import duties, customs charges, brokerage or clearance fees, destination-country VAT, sales tax or other taxes and charges imposed by authorities or service providers outside Israel, unless expressly stated otherwise.

If Hikari Chef Knives is legally required to collect a particular tax or charge from the customer, that amount may be added to the order and will be communicated as part of the transaction.

We may change Website prices at any time. A price change will not alter an order that we have already accepted, except where the displayed price resulted from an obvious or genuine error and applicable law allows the error to be corrected.

6. Payment

Available payment methods may vary depending on the customer, destination, order type and transaction. The applicable payment method and payment instructions will be communicated when the order is arranged.

An order will not be considered paid until the relevant funds have been successfully received or otherwise confirmed by Hikari Chef Knives.

We reserve the right to refuse or cancel a transaction where payment cannot be verified, is reversed, is suspected of fraud or unauthorized use, or otherwise cannot be accepted.

7. Product Information and Handmade Products

We make reasonable efforts to provide accurate product descriptions, specifications, photographs and measurements.

Many of the knives offered by Hikari Chef Knives are handmade or produced in small batches. Minor differences in dimensions, weight, grind, finish, markings, handle materials, wood grain, color and other visual details are normal characteristics of handmade products and do not necessarily constitute defects.

Measurements, weights, hardness values and other technical specifications should be considered nominal or approximate unless expressly stated otherwise.

Photographs are intended to represent products as accurately as reasonably possible. Colors, wood grain and surface finishes may appear differently depending on lighting, photography and display settings.

Information concerning steels, materials, manufacturing processes, heat treatment and other technical subjects may include information supplied by manufacturers, makers or independent third-party sources. We make reasonable efforts to present this information accurately but cannot guarantee the accuracy of information originating from third parties.

8. Shipping

International shipping options and costs depend on the destination and order and may be quoted individually.

Any delivery or transit time provided by Hikari Chef Knives or a shipping carrier is an estimate unless we expressly agree otherwise in writing. Customs processing, security inspections, carrier delays, local delivery conditions and other events outside our control may affect delivery time.

The customer is responsible for providing a complete and accurate delivery address, telephone number where required, and any other information reasonably required for shipment or customs clearance.

If a shipment is returned because of an incorrect or incomplete address supplied by the customer, refusal of delivery, failure to collect the shipment, failure to complete required customs procedures, or failure to pay destination charges for which the customer is responsible, reasonable shipping, return, customs and handling costs may be deducted from any amount otherwise refundable, to the extent permitted by applicable law.

9. Customs, Import Taxes and Local Restrictions

International customers are responsible for checking whether the products they order may lawfully be imported, received, possessed and used in their destination country or region.

Knives and other cutting tools may be subject to local import, customs, carrier, age, possession, transportation or other restrictions. We may decline or cancel an order where applicable law, sanctions, export or import restrictions, carrier rules or other circumstances prevent us from reasonably fulfilling it.

Import duties, local taxes, customs charges, brokerage fees and similar destination charges are normally the responsibility of the recipient unless expressly agreed otherwise.

Hikari Chef Knives does not control charges, inspections, delays or decisions imposed by foreign governments, customs authorities, carriers or customs brokers.

We declare international shipments according to the actual transaction and applicable customs requirements. We will not understate the value of an order or falsely declare a commercial shipment as a gift at the customer’s request.

10. Returns, Cancellations and Consumer Rights

Retail returns and cancellations are governed by our Refund and Returns Policy, which forms part of these Terms.

Nothing in these Terms or in our Refund and Returns Policy is intended to remove or restrict a consumer right that cannot legally be excluded or limited. Where mandatory law gives a customer rights that cannot legally be waived by agreement, those mandatory rights will apply.

Business and wholesale transactions are not covered by our consumer return policy unless expressly agreed otherwise in writing.

11. High-Performance Knives Require Care

Our knives are high-performance cutting tools made from very hard steels and are generally ground considerably thinner than ordinary Western kitchen knives. This allows them to take and retain exceptionally fine cutting edges, but it also makes them less tolerant of abuse, impact, twisting and sideways force.

Compared with typical Western kitchen knives, many of our knives are more fragile and must be used with greater care. Their hardness and thin cutting geometry are deliberate performance characteristics, not an indication that they can withstand the type of abuse that a thicker and softer Western-style knife may tolerate.

Use these knives only for appropriate food preparation. Do not use them to cut bones, frozen foods, shells, hard pits or other very hard materials unless a particular knife is expressly described as suitable for that purpose. Never use the blade for prying, twisting, levering, striking or chopping through materials for which it was not designed.

As a simple rule of thumb: if you would not comfortably bite through something with your teeth, you should not try to cut through it with one of our kitchen knives.

Do not intentionally bend or twist a knife while its edge is embedded in food. Do not strike the knife against hard objects or use it as a screwdriver, pry bar, can opener or impact tool.

Dropping a hard kitchen knife may chip, crack or break the blade or damage the handle. Never attempt to catch a falling knife.

12. Damage, Breakage, Chipping, Rust and Product Responsibility

Once a knife has been delivered, its use, handling, sharpening, storage and maintenance are the responsibility of the customer.

Hikari Chef Knives does not provide any voluntary or commercial warranty against physical damage occurring after delivery.

This includes, without limitation, edge chipping, cracks, blade breakage, bending, impact damage, dents, scratches, abrasion, discoloration, staining, patina, rust, corrosion, damage caused by sharpening, and damage to the handle, blade or other components.

Damage may result from twisting or applying sideways pressure to the blade, cutting inappropriate materials, striking hard objects, using unsuitable cutting surfaces, dropping the knife, improper sharpening, improper cleaning or storage, corrosion, impact, accident, neglect or other inappropriate use or handling. Such damage is not covered by Hikari Chef Knives.

No knife steel is completely immune to corrosion, including stainless steel. Stainless steel means corrosion-resistant, not corrosion-proof. Rust, staining or corrosion resulting from moisture, food residue, salts, acids, cleaning methods, storage conditions or inadequate maintenance are the customer’s responsibility and are not covered by warranty.

The fact that a knife chips, cracks, breaks, bends, rusts, becomes scratched or otherwise suffers damage, including shortly after purchase, does not by itself establish that the knife was defective and does not by itself create an entitlement to a refund, replacement, repair or other compensation.

A customer’s statement or belief that damage occurred during ordinary use does not by itself establish that the product was defective. Where a customer asks us to consider a claim concerning a damaged knife, Hikari Chef Knives may examine the knife, photographs, the circumstances of use and any other relevant information before determining whether any assistance is appropriate.

Hikari Chef Knives may, at its discretion, offer advice, sharpening, repair assistance, replacement or another goodwill solution in an individual case. Any such assistance is voluntary, does not constitute an admission that the product was defective and does not create an ongoing warranty or obligation in relation to that or any other product.

Nothing in this section excludes any remedy that Hikari Chef Knives is legally required to provide under mandatory applicable law. No additional warranty against chipping, breakage, bending, rust, corrosion, scratches or other physical damage is offered beyond such mandatory rights.

13. Products Damaged During Shipping or Incorrect Products

If you believe that you received the wrong product or that a product was damaged during shipping before it reached you, please contact us promptly through the Website and provide sufficient information for us to investigate the matter.

We may request photographs, packaging information, shipping documentation or other reasonable evidence necessary to assess the issue.

If damage appears to have occurred during shipping, please retain the product, shipping box, labels, internal packaging and all packing materials until the matter has been resolved, as the carrier may require them for inspection or a shipping claim.

A product with suspected shipping damage should not be used where continued use could cause additional damage, create a safety risk or make the original condition difficult to assess.

Damage that occurs after delivery as a result of use, accident, impact, maintenance, sharpening, corrosion, improper storage or other circumstances described in these Terms is not considered shipping damage merely because it occurred shortly after purchase.

14. Knife Care and Maintenance

The customer is responsible for properly maintaining knives purchased from Hikari Chef Knives.

Kitchen knives should be washed by hand and dried thoroughly after use. Premium kitchen knives should not be washed in a dishwasher.

Do not leave a knife wet, soaking in water or lying in a sink. Food residue should not be left on the blade for extended periods.

Carbon steels require particularly prompt cleaning and drying and will normally develop a patina through use. Stainless steels require less maintenance but can still stain, corrode or rust if they are not properly cared for.

Use an appropriate cutting board. Hard surfaces such as glass, stone, ceramic and metal can rapidly damage the cutting edge.

Knives should be stored securely so that the blade does not strike other metal objects or create a safety hazard. Knives stored for extended periods should be kept clean and dry and, where appropriate, lightly protected with suitable food-safe oil.

Sharpening changes the cutting edge and must be carried out appropriately. Damage caused by incorrect sharpening, excessive grinding, unsuitable equipment or other modification of the blade is the customer’s responsibility.

Improper care or use can permanently damage a knife. Rust, corrosion, edge damage, chipping, scratches, breakage and other damage caused after delivery are the responsibility of the customer as described in these Terms.

15. Knife Safety

Kitchen knives are extremely sharp cutting tools and can cause serious injury if used or handled improperly. The purchaser and user are responsible for using, handling, storing, cleaning and sharpening knives safely.

Keep knives away from children and persons who cannot safely handle them.

Use an appropriate and stable cutting surface.

Keep fingers and other body parts clear of the cutting edge.

Exercise particular care when cleaning and sharpening the blade.

Do not leave knives concealed in sinks, water or beneath other objects.

Never attempt to catch a falling knife.

Store knives securely when they are not in use.

Do not use kitchen knives as weapons or for purposes for which they were not designed.

These instructions are basic precautions only and are not an exhaustive safety guide. Users are responsible for exercising appropriate care and judgment whenever handling a knife.

16. Wholesale and Business Purchases

Wholesale prices, minimum quantities, payment arrangements, delivery arrangements and other commercial terms may be agreed separately for each wholesale customer or order.

Where a quotation, invoice, wholesale agreement, order confirmation or other written commercial terms issued by Hikari Chef Knives contain provisions that differ from these Terms, the specific written terms for that transaction will take precedence to the extent of the difference.

Consumer cancellation, withdrawal and return rights do not apply to purchases made in the course of a business except where applicable law expressly provides otherwise or where Hikari Chef Knives has agreed otherwise in writing.

17. Website Content

The Website and its content are provided for informational and commercial purposes. We make reasonable efforts to maintain accurate information but do not guarantee that every page, specification, article or other item of content will always be complete, error-free or current.

The Website may contain articles, opinions, technical explanations, comparisons and links to research or information published by third parties. Such material is provided for general information and should not be regarded as professional, legal, medical or other regulated advice.

18. External Links and Third-Party Content

The Website may link to external websites, videos, publications, social networks and other third-party resources. Links are provided for reference or convenience and do not mean that Hikari Chef Knives controls, endorses or guarantees the external website or its contents.

We are not responsible for the availability, accuracy, security, policies or content of third-party websites or services.

Your use of third-party websites and services is governed by their own terms and privacy policies.

19. Intellectual Property

The Website contains text, photographs, graphics, product descriptions, design elements, logos, videos and other materials that are owned by Verimix Ltd., licensed to us, or owned by their respective rights holders.

Except where applicable law permits otherwise, Website content may not be copied, reproduced, republished, distributed, modified, commercially exploited or used to create derivative works without prior authorization from the relevant rights holder.

Product names, manufacturer names and third-party trademarks remain the property of their respective owners.

20. Acceptable Use of the Website

You may not misuse the Website or attempt to interfere with its operation, security or availability.

Prohibited activity includes unauthorized access, introduction of malicious code, attempts to bypass security controls, fraudulent use, impersonation, scraping or automated extraction that places an unreasonable burden on the Website, and unauthorized commercial reproduction of Website content.

We may restrict or block access to the Website where reasonably necessary to protect the Website, our systems, our customers or third parties.

21. Privacy and Cookies

Our collection and processing of personal information is described in our Privacy Policy.

The Website may use cookies and similar technologies for necessary functionality, analytics and other purposes as described in our Privacy Policy and the consent controls presented on the Website.

22. Website Availability and Security

The Website is provided on an “as available” basis. We do not guarantee that it will always be available, uninterrupted, error-free or free from technical problems.

We take reasonable measures to maintain and protect the Website, but no Internet service can be guaranteed to be completely secure or continuously available.

23. Limitation of Liability

To the maximum extent permitted by applicable law, Hikari Chef Knives and Verimix Ltd. will not be liable for indirect, incidental, special or consequential losses arising from use of the Website, delays outside our reasonable control, or misuse, improper handling or improper maintenance of a product.

We are not responsible for injury, damage or loss caused by negligent, unsafe, abnormal or unintended use of a knife; inappropriate cutting materials; impact; dropping; twisting; improper storage, maintenance or sharpening; unauthorized modification; corrosion caused after delivery; or failure to use appropriate safety precautions.

Nothing in these Terms excludes or limits liability where such liability cannot lawfully be excluded or limited.

Nothing in these Terms restricts mandatory consumer rights that apply to a transaction and cannot legally be waived.

24. Events Outside Our Control

We will not be responsible for delays or failure to perform obligations caused by circumstances reasonably outside our control, including war, hostilities, terrorism, civil disturbance, government action, sanctions, customs restrictions, import or export restrictions, strikes, carrier disruption, natural disasters, severe weather, fire, epidemic, failure of communications or infrastructure, or similar events.

If such circumstances make fulfilment of an order impossible or unreasonable, we may suspend fulfilment or cancel the affected part of the order. Any payment received for products that we cancel and do not supply will be refunded, together with any associated shipping charge that will no longer be incurred.

25. Changes to These Terms

We may update these Terms from time to time. The version published on the Website will apply to use of the Website from the date it is published.

Changes will not retrospectively alter the agreed terms of a purchase that was already accepted before the change, unless required by law or agreed with the customer.

26. Governing Law and Jurisdiction

These Terms and transactions with Verimix Ltd. are governed by the laws of the State of Israel, subject to any mandatory legal provisions that apply to a particular transaction and cannot legally be excluded by agreement.

For wholesale and other business-to-business transactions, the competent courts in the Tel Aviv District, Israel, shall have exclusive jurisdiction unless otherwise agreed in writing.

For consumer transactions, nothing in this clause removes any mandatory right a consumer may have to bring or defend proceedings in another jurisdiction where applicable law grants that right.

27. Severability and No Waiver

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

A failure by Hikari Chef Knives to enforce a provision on one occasion does not constitute a waiver of that provision or of the right to enforce it later.

28. Relationship Between These Terms and Specific Order Terms

These Terms, our Refund and Returns Policy, our Privacy Policy and any specific written quotation, order confirmation, invoice or agreement applicable to your transaction together govern the relevant relationship between you and Hikari Chef Knives.

If a specific written quotation, order confirmation or negotiated business agreement expressly conflicts with these general Terms, the specific written term will prevail for that transaction, except where mandatory law requires otherwise.

29.
